Terms of Service.
These Terms explain how WATCH DESIGN PROJEKT works with Clients, including project stages, payments, ownership, CGI work and production management.
These Terms of Service (“Terms”) apply to services provided by WATCH DESIGN PROJEKT (“WDP”, “we”, “us” or “our”) to its clients (“Client”, “you” or “your”). By accepting a quotation, making a payment or instructing WDP to begin work, the Client agrees to these Terms. WDP primarily provides services to watch brands, founders, entrepreneurs and Clients acting for commercial or professional purposes.
Services & Project Scope
WDP provides professional services including watch design, 2D concept development, 3D CAD modelling and engineering, CGI rendering, CGI animation, technical documentation, prototyping support and production management.
The exact scope, deliverables, pricing and expected timeline for each project are defined in the relevant quotation, proposal, invoice, project brief or other written agreement between WDP and the Client.
Work requested outside the agreed project scope may require additional payment and may affect the project timeline.
Payments & Additional Costs
WDP may pause work, production coordination or final delivery while an invoice or milestone payment remains overdue.
Unless expressly stated as included, WDP's professional fees do not automatically include prototype manufacturing, bulk manufacturing, movements, components, tooling, packaging, shipping, customs, taxes, certification or other third-party costs.
Amounts already committed or paid to manufacturers, suppliers or other third parties are non-refundable to the extent those funds cannot be recovered by WDP.
Project Stages, Revisions & Approvals
WDP uses a structured, stage-based development process. Depending on the project, stages may include:
Concept & 2D Design → 3D Modelling & Engineering → CGI Visualization → Technical Drawings & Specification Sheets → Production-Ready Files.
WDP does not generally impose a fixed number of revisions while the current stage is actively being developed. Multiple reasonable variations may be explored in order to establish the final direction for that stage.
Once the Client approves a stage, that stage is considered completed and the project proceeds to the next stage.
If the Client later requests WDP to return to a previously approved stage, substantially change an approved direction or recreate work completed as a result of an earlier approval, the additional work falls outside the original project scope and may require additional payment.
Clients should carefully review each stage before approval. Once approval is given, WDP is entitled to rely on that approval when completing subsequent design, engineering, CGI or production work.
Cancellation & Client Inactivity
Once work has commenced, payments made by the Client are generally non-refundable.
The initial 50% payment reserves WDP's project capacity and covers work commenced or performed. If the Client cancels, abandons or decides not to continue the project, the initial payment will not be refunded.
If WDP decides that it cannot undertake or continue a project for reasons attributable to WDP, amounts relating to services not performed may be refunded.
Four Weeks of Inactivity
If the Client fails to provide required communication, materials, feedback, instructions or approvals for four consecutive weeks, WDP may treat the project as abandoned and terminate it.
In that event, payments already made remain non-refundable, the reserved project slot may be released and restarting the project may require a new quotation and will be subject to WDP's current availability.
Timelines & Delays
WDP makes reasonable professional efforts to meet communicated project timelines. Unless a deadline is expressly guaranteed in writing, quoted completion dates are estimates rather than absolute guarantees.
Timelines may be extended because of delayed Client communication, additional revisions, scope changes, returning to previously approved stages, supplier delays, component availability, manufacturing issues, shipping, customs, illness, emergencies or circumstances outside WDP's reasonable control.
Delays caused by the Client may extend the project timeline by a reasonable corresponding period and may require the project to be rescheduled based on WDP's availability.
Ownership, Project Files & Portfolio Use
Once the applicable project has been completed, all amounts due have been paid in full and the final files have been delivered, the Client receives ownership of the bespoke project materials created specifically for that project.
Depending on the project, this may include design files, CAD files, technical drawings, specification sheets, CGI renders, CGI animations and production files created specifically for the Client.
WDP retains ownership of its general workflows, methods, techniques, reusable systems, internal tools, libraries, know-how and intellectual property developed independently of the Client's specific project.
WDP will only publicly display Client work where the Client has agreed to such use. Where confidentiality is required, the Client should inform WDP, and any separate NDA entered into between the parties will apply.
Client Materials & Intellectual Property
Clients may provide WDP with logos, trademarks, artwork, CAD files, reference designs, photographs, fonts and other materials required to complete a project.
By providing these materials, the Client confirms that it owns or has the necessary rights and permissions for WDP to use those materials for the project.
WATCH DESIGN PROJEKT provides design and development services and does not provide trademark, patent, copyright or other legal-clearance services unless specifically agreed otherwise.
The Client is responsible for determining whether its product, design, brand name, logo or other commercial material may lawfully be manufactured, marketed and sold.
CGI Renders & Animations
WDP creates CGI imagery and animations intended to represent products as accurately and realistically as reasonably possible.
CGI nevertheless remains a digital representation. Small differences may occur between CGI and the eventual physical product because of material variation, surface finishing, coatings, lighting, reflections, display calibration, manufacturing tolerances or changes made during prototyping and production.
Where CGI is based on CAD, artwork or specifications supplied by the Client, WDP is entitled to rely on the accuracy of those materials.
Prototyping, Production & Manufacturers
WDP may coordinate prototype and bulk production through manufacturers and suppliers with whom WDP has established working relationships.
Depending on the project, the Client may pay production funds to WDP, after which WDP arranges payment to the relevant manufacturer or supplier.
WDP's role may include manufacturer communication, quotation coordination, specification communication, prototype management, sample review, production coordination and general production management.
Unless expressly agreed otherwise, WATCH DESIGN PROJEKT is not the physical manufacturer of the Client's products.
WDP will use reasonable professional care when coordinating production. Physical manufacturing nevertheless involves factors outside WDP's direct control, including manufacturing tolerances, supplier delays, material variation, component shortages, tooling issues, shipping, customs and manufacturing defects.
Where a manufacturing issue occurs, WDP will reasonably assist the Client in communicating with the manufacturer and seeking an appropriate solution. WDP does not provide an independent warranty covering an independent manufacturer's performance unless expressly agreed in writing.
Prototype & Production Approval
Once the Client approves a prototype, specification, sample or other production checkpoint, WDP may proceed based on that approved version.
Changes requested after manufacturing has commenced may result in additional prototype, tooling, component, manufacturing and management costs. Costs resulting from Client-requested changes after approval are the Client's responsibility.
Liability & Commercial Risk
WDP provides professional design, CGI, development and production-management services but does not guarantee the commercial success of any watch, brand, campaign, product launch or business.
To the maximum extent permitted by applicable law, WDP will not be liable for indirect, consequential or speculative commercial losses, including anticipated profit, lost sales, business opportunities, reputational loss or losses resulting from a delayed commercial launch.
To the maximum extent permitted by law, WDP's aggregate liability arising from a particular professional service engagement will not exceed the professional service fees paid to WDP for the service giving rise to the claim.
Manufacturing costs, freight, customs, taxes, duties and other third-party amounts paid or passed through on the Client's behalf are excluded when calculating that service fee cap.
Nothing in these Terms excludes or limits liability where doing so would be prohibited by applicable law.
Governing Law & General Terms
These Terms and the relationship between WATCH DESIGN PROJEKT and the Client are governed by the laws of the Republic of Croatia, subject to mandatory legal protections that cannot lawfully be excluded.
Where legally permitted, disputes arising from these Terms or WDP's services will be subject to the jurisdiction of the competent courts in the Republic of Croatia.
These Terms, together with the applicable quotation, proposal, invoice, project brief and any separate written agreement between WDP and the Client, form the agreement governing the relevant project.
If any part of these Terms is found to be unenforceable, the remaining provisions will continue to apply to the fullest extent permitted by law.
By accepting a quotation, making the initial payment or instructing WDP to begin work, the Client confirms that they have read and accepted these Terms of Service.
